TVFC LLC provides professional services in the field of Computer Systems Design and Related Services, including but not limited to: systems architecture design and consulting, cloud infrastructure planning and migration, cybersecurity engineering and assessment, computer integrated systems design, systems integration and middleware development, data infrastructure and analytics platform engineering, managed IT operations and monitoring, and technical project management and advisory services.
The scope, deliverables, timeline, and fees for any specific service engagement shall be set forth in a separate written agreement, statement of work, or service contract executed by both parties. In the event of any conflict between these Terms and the provisions of a separate written agreement, the separate written agreement shall control.

Fees for our professional services are set forth in the applicable service agreement, statement of work, or proposal. Unless otherwise specified, all fees are quoted and payable in United States Dollars (USD) and are exclusive of applicable taxes. You are responsible for paying all sales, use, value-added, withholding, and similar taxes that may be imposed on the services.
Payment terms are specified in the applicable service agreement. Late payments may incur interest charges at the maximum rate permitted by law. We reserve the right to suspend or terminate services for non-payment. All fees paid are non-refundable unless otherwise expressly stated in the service agreement.
In the course of providing services, each party may receive or have access to confidential information of the other party. Confidential information includes any non-public information that a reasonable person would understand to be confidential under the circumstances, whether disclosed orally, in writing, or in any other form.

Neither party shall be liable for any failure or delay in performance under these Terms (other than payment obligations) caused by circumstances beyond its reasonable control, including but not limited to acts of God, fire, flood, earthquake, war, terrorism, riot, civil unrest, labor disputes, internet service disruptions, government actions, or epidemics. The affected party shall notify the other party promptly and make reasonable efforts to mitigate the impact and resume performance.
These Terms, together with our Privacy Policy and any applicable service agreement, constitute the entire agreement between you and TVFC LLC regarding your use of the Website and our services, superseding any prior agreements or communications.
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be replaced by a valid provision that most closely approximates the intent and economic effect of the invalid provision.
The failure of TVFC LLC to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of TVFC LLC.
